Terms of Service
Last updated: 7 October 2026
1. Agreement to these terms
These Terms of Service (“Terms”) govern your use of eanektra.com (the “Website”) and any services provided by EANEKTRA (“EanEkTra”, “we”, “us” or “our”). By using the Website or engaging our services, you agree to these Terms. If you are acting for a company, you confirm you have authority to bind it.
2. Our services
EanEkTra provides custom software engineering, enterprise ERP integration, applied research and development, intelligent automation and related consulting services. Descriptions on the Website are general. The scope, timeline, deliverables, fees and acceptance criteria of any specific engagement are set out in a written proposal, Statement of Work (SOW), Master Services Agreement or order form signed or accepted by both parties (an “Engagement Document”). If an Engagement Document conflicts with these Terms, the Engagement Document prevails for that engagement.
3. Use of the Website
You may use the Website only for lawful purposes. You must not attempt to gain unauthorised access to any part of the Website or its hosting infrastructure, interfere with its operation, submit false or misleading information, send unsolicited or automated bulk messages through our forms, or copy, scrape or reproduce Website content for commercial purposes without our written permission.
4. Inquiries and communications
Submitting an inquiry does not create a contract or obligation on either side. We aim to respond within 24 business hours but do not guarantee response times. By providing your contact details you agree that we may contact you about your inquiry by email, phone, SMS or WhatsApp. You can opt out of non-essential communications at any time.
5. Proposals, fees and payment
- Quotations are valid for 30 days unless stated otherwise.
- Fees, payment schedules and milestones are defined in the Engagement Document. Unless otherwise agreed, invoices are payable within 15 days of the invoice date by bank transfer or another method we accept.
- All fees are exclusive of GST and other applicable taxes, which will be added to invoices as required by law. International clients are responsible for any withholding taxes or bank charges in their jurisdiction.
- If an invoice is overdue, we may suspend work and withhold deliverables until payment is received, after giving you written notice.
- Cancellations and refunds are handled under our Refund & Cancellation Policy.
6. Client responsibilities
You agree to provide timely access to the information, systems, personnel, credentials and approvals reasonably needed for the engagement, to review and accept deliverables within the period set in the Engagement Document, and to ensure you have the right to share any data or materials you give us. Delays caused by late inputs may extend timelines and, where significant, adjust fees.
7. Intellectual property
- Deliverables. Unless the Engagement Document says otherwise, ownership of custom deliverables created specifically for you transfers to you on receipt of full payment for those deliverables.
- Pre-existing materials. We retain ownership of our pre-existing tools, libraries, frameworks, templates, know-how and methodologies. Where these are included in a deliverable, you receive a perpetual, non-exclusive licence to use them as part of that deliverable.
- Third-party software. Open-source and third-party components remain subject to their own licences.
- Website content. All content on the Website, including text, graphics, logos and code, belongs to EanEkTra or its licensors and is protected by copyright and trademark law.
- Portfolio. Unless you tell us otherwise in writing, we may identify you as a client and describe the general nature of the work in our portfolio, without disclosing confidential information.
8. Confidentiality
Each party will keep the other’s confidential information secret, use it only for the engagement, and protect it with at least reasonable care. We are happy to sign a bilateral Non-Disclosure Agreement before any detailed discussion. Confidentiality obligations survive the end of an engagement for 3 years, and indefinitely for trade secrets.
9. Third-party platforms and trademarks
We integrate with and build on third-party platforms such as SAP, Oracle, Microsoft Dynamics, Odoo, Tally, Zoho, Salesforce and cloud providers. Those names and logos are trademarks of their respective owners. Unless expressly stated, EanEkTra is an independent service provider and is not affiliated with, endorsed by or a reseller of those companies. Your use of third-party platforms is subject to their own terms and licence fees, which you are responsible for.
10. Warranties and disclaimers
We warrant that services will be performed with reasonable skill and care by suitably qualified personnel, and that deliverables will materially conform to the agreed specification for the warranty period stated in the Engagement Document (30 days from acceptance if none is stated). Our sole obligation for a breach of this warranty is to correct the non-conformity. Except as expressly stated, the Website and services are provided “as is” and we disclaim all other warranties, including fitness for a particular purpose and uninterrupted or error-free operation.
11. Limitation of liability
To the fullest extent permitted by law, neither party is liable for indirect, incidental, special or consequential loss, loss of profit, revenue, data or business opportunity. Our total liability arising out of an engagement is limited to the fees you paid to us under that engagement in the 12 months before the claim arose. Nothing in these Terms limits liability for fraud, wilful misconduct, death or personal injury, or any liability that cannot be limited by law.
12. Termination
Either party may terminate an engagement on 30 days’ written notice, or immediately if the other party materially breaches these Terms or the Engagement Document and does not cure the breach within 15 days of notice. On termination, you will pay for work completed and non-cancellable costs incurred up to the termination date, and we will hand over completed and paid-for deliverables.
13. Governing law and disputes
These Terms are governed by the laws of India. The parties will first try to resolve any dispute amicably through discussion between senior representatives within 30 days. Failing that, the courts at Coimbatore, Tamil Nadu, India have exclusive jurisdiction, unless an Engagement Document specifies arbitration or another forum.
14. Changes to these terms
We may update these Terms from time to time. The “Last updated” date shows when they were last changed. Changes apply to Website use from the date they are posted and to engagements agreed after that date.
